GENERAL CONDITIONS OF CARRIAGE AND OTHER SERVICES

Appendix No. 1 to the Express Carriage Agreement

1. DEFINITIONS

"TNT" means TNT Express Worldwide N.V., members of the TNT group, employees, agents, and legally separate third parties;

"Terms" means these General Conditions of Carriage and other services, which may be modified in accordance with paragraph 2;

"Treaty" means an agreement between a company belonging to the TNT group that accepts the Shipment (1) and the Customer (2) for the provision of services in accordance with these Conditions;

“Conventions” means (i) the Warsaw Convention of 1929 or the Convention as amended by the Hague Protocol of 1955 and/or the Montreal Protocol No. 4 (1975) or the Montreal Convention of 1999, either of which is applicable in without fail, (ii) the 1956 Convention on the Contract for the International Carriage of Goods by Road (hereinafter referred to as CMR); (iii) the Convention on International Carriage by Rail (COTIF) or (iv) any national laws implementing and/or ratifying or otherwise related to the aforementioned conventions;

"Customer"- the natural or legal person who purchases TNT services, or the sender, as the case may be;

“Non-transportable cargo” means such goods or documents of any nature that have not been packed or have been packed improperly; damaged goods or documents; goods or documents that pose a risk to health and safety; goods or documents that may cause damage to other TNT shipments or equipment and/or premises; and such goods or documents as may be damaged during carriage by being unsuitable for carriage;

"Services" means the services rendered by TNT in relation to the Shipment as referred to in paragraph 2;

"HAPPY BIRTHDAY" means special drawing rights, the value of which is pegged to a basket of major currencies as determined by the IMF and is published regularly in official sources;

"Cargo" means goods or documents of any nature (including bulk, oversized, cargo in one or more packages) that TNT has accepted from the Customer for the provision of the Services.

2. ACCEPTANCE OF THE TERMS

2.1. By handing over the Shipment to TNT or receiving the Shipment, the Customer agrees to be bound by these Terms, whether or not he has signed the forward part of the bill of lading. The Contract comes into force from the moment the Cargo is accepted for carriage by TNT. Modification of these Terms is possible only with the written consent of TNT employees authorized to do so. TNT is under no obligation to follow Customer's oral or written instructions that are inconsistent with these Terms.

2.2 Even if the obligation to carry the Goods is part of another contract between the Customer and TNT, these Conditions apply to such contract.

2.3 In entering into any contract with TNT that includes conditions for the carriage of Goods, the Customer agrees that:

  • such an agreement is a contract for the carriage of goods by road, if the Cargo is actually transported by road;
  • such contract is a contract for the carriage of goods by air, if the Cargo is actually wholly or partially transported by air;
  • such contract is a contract for the carriage of goods by sea, if the Cargo is actually transported by sea;
  • such an agreement is an agreement rail transportation cargo, if the Cargo is actually transported by rail.

2.4. The Customer agrees that TNT has the right to transfer the rights and obligations under the Agreement to third parties.

3. DANGEROUS GOODS AND SAFETY

3.1. Except as provided in clause 3.2, TNT will not accept for carriage goods that are, or in TNT's sole discretion, are deemed dangerous, including but not limited to prohibited goods. technical instruction ICAO (International Civil Aviation Organization), the IATA (International Air Transport Association) Dangerous Goods Regulations, the International Maritime Dangerous Goods Code, the European Agreement Concerning the International Carriage of Dangerous Goods by Road, or other national or international legislation governing the transport of dangerous goods.

3.2. TNT may, at its sole discretion, accept for carriage certain types dangerous goods, only after an agreement has been reached between TNT and the Customer on special conditions transportation of such goods. Additional Information regarding TNT's requirements for the transport of dangerous goods will be made available upon request by the Customer at the nearest TNT office. The Customer will be required to pay an additional charge for the carriage of dangerous Goods.

3.3. By completing the TNT bill of lading or at the time of delivery of the Shipment, the Customer warrants that:

3.3.1. The shipment does not contain prohibited items listed in Appendix 17 of the ICAO Technical Instructions, either nationally or internationally. normative documents, or TNT requirements governing the safety of air travel. The Customer shall provide full information about the contents of the Shipment on the TNT bill of lading or other accompanying documents, which does not eliminate the obligations and liability of the Customer.

3.3.2. prepared the Cargo for transportation in a secure location in the presence of reliable employees hired by the Customer, and there was no unauthorized access to the Cargo during preparation, storage and transportation until TNT accepted the Cargo for transportation.

3.4. Shipments may be subject to security screening and Customer agrees that the Shipment may be opened and the contents of the Shipment inspected at any time for security purposes.

4. EXPORT CONTROLS

4.1. Customer warrants and is responsible for compliance with all applicable export control laws and regulations, including, but not limited to, laws and regulations prohibiting unauthorized trade in weapons and other strategic goods and services in relation to them, as well as financial and commercial transactions with physical and legal entities; or rules and regulations that provide conditions for certain technologies, information and goods that can be transported to/from/through/above the country in which the transportation can take place.

4.2. The Customer warrants that TNT will not engage TNT in the carriage of goods and documents related to any person listed in any of the United Nations sanctions programs or in any national program that implements and / or supplements such programs, as well as specified in any autonomous rules on the introduction of the above measures.

4.3. The Customer agrees to provide information about the Shipment for pre-export control and provide TNT with all Required documents to comply with applicable law.

4.4. The customer is responsible at its own expense for compliance with export and import licensing or permit requirements in respect of the cargo, obtaining all required licenses and permits; and warrants that the recipient is authorized by the laws of the country of origin, destination and/or any other country under whose jurisdiction the Shipment falls.

4.5. Under no circumstances shall TNT be liable for Customer's failure to comply with export control laws, sanctions, restrictions or prohibitions.

5. RULES FOR CALCULATION OF TRANSIT TIME AND CARGO ROUTE

The door-to-door delivery transit time shown in the rate cards and applications does not include weekends, holidays and days required for customs clearance, delays due to compliance with local security requirements, and other events beyond the control of TNT. The choice of the route of transportation of the Goods is the exclusive prerogative of TNT.

6. CUSTOMS CLEARANCE

6.1. The customer appoints TNT as an agent for the purpose of customs clearance of low value goods. If TNT outsources customs clearance to a third party, Customer confirms that TNT is its representative for the purpose of customs clearance. If Customs require the submission of additional documents in order to confirm the customs declarations for import/export or the rights of TNT in relation to the Goods, the provision of the required documents is carried out by the Customer at his own expense.

6.2. The Customer undertakes to provide reliable information regarding the export and import of the Cargo, containing valid information about the sender and recipient. TNT, in its sole discretion, may voluntarily assist with customs clearance and other procedures, but the entire risk will be borne by the Customer.

6.3. Any customs fees, taxes, fines, storage costs or other costs that TNT may incur as a result of (i) actions by customs or other government authorities, or (ii) due to the failure of the Customer and/or the consignee to provide an appropriate list of documents, and/or (iii) obtain the necessary license or permit, will be billed to the Customer. Customer agrees upon TNT's first request to provide adequate security for payment of any fees, taxes, fines, or other charges contemplated by these Terms.

6.4. TNT will make every reasonable effort to expedite the customs clearance process, but cannot be held responsible for delay, loss or damage resulting from the actions of customs or other government authorities.

6.5. Customer agrees to indemnify TNT against any liabilities or any costs, losses or expenses, including legal fees and attorneys' fees, that TNT may incur against Customer or other third parties in connection with Customer's failure to comply with the obligations set forth in clause 6. of these Terms.

7. SHIPMENT DELIVERY

7.1. If TNT is unable to deliver the Shipment due to an incorrect address, then TNT will make reasonable efforts to determine the correct address. TNT will notify Customer of possible additional costs under these Terms.

7.2. Shipments are not accepted to addresses indicated in the form of a mailbox, except in a limited number of countries (the list is available upon request), provided that the recipient's telephone number is indicated.

7.3. If TNT is unable to deliver the Shipment to the recipient for any reason, then TNT will endeavor to leave a notice at the recipient's address stating the attempted delivery of the Shipment and its location. If, on a second attempt to deliver the Shipment, the Shipment is not handed over to the consignee, or the consignee refuses to accept it, TNT will make every reasonable effort to agree on further action. Customer agrees to pay for any costs incurred by TNT in connection with the redirection, destruction or return of the Shipment, and, if necessary, to pay for further attempts by TNT to deliver the shipment and the corresponding follow-up actions. If TNT does not receive instructions from the Customer or instructions from the recipient within a reasonable time after the second attempt to deliver the Shipment, TNT reserves the right, at its sole discretion, to destroy or dispose of the contents of the Shipment without any liability to and at the expense of the Customer.

7.4. The Customer or recipient of the Shipment may leave special instructions to deliver the Shipment to another destination (eg, a nearby address) or to another person. The recipient may leave his wishes about the place of collection of the Cargo, which must be confirmed by TNT. In the event that TNT and Customer reach agreement on the possibility of following special instructions, the following conditions shall apply:

7.4.1. proof of delivery to another person and/or address is proof of delivery of the Cargo;

7.4.2. TNT shall not be liable for any possible loss, damage or delay in delivery resulting from the fulfillment of Customer's specific instructions.

7.5. In the event that the Customer has authorized TNT, and TNT decides (i) in the absence of a person authorized to sign for receipt, leave the Shipments at the specified address without receiving confirmation of delivery, or (ii) deliver to the mailbox, unilateral notification from TNT of delivery , is the proper proof of delivery of the Shipment, and from that moment TNT is released from liability in respect of the Shipment.

8. OBLIGATIONS OF THE CUSTOMER

Customer warrants to TNT that all Shipments comply with the following conditions:

8.1.1. the contents of the Cargo are prepared and securely and carefully packaged in order to protect against the usual risks during transportation or other services, including sorting and/or handling of the Cargo;

8.1.2. any Cargo over 70 kg is packed on a pallet;

8.1.3. the contents of the Shipment (including, but not limited to, the weight and number of pieces), as well as the full contact details of the recipient, are fully and accurately and legibly shown on the TNT waybill;

8.1.4. The Shipment is ready for transport, properly packaged, labeled correctly, and the markings are securely attached and properly placed on the outside of the Shipment's packaging in such a way that they are easily visible (heavyweight Shipments must be marked on outer surface packing the Cargo in a visible place, if the Cargo weighs 30 kilograms or more);

8.1.5. the Shipment is accompanied by a proper commercial invoice (containing the correct billing address and the corresponding TIN, a true and accurate description of the contents of the Shipment, a code representing the first 6 (six) characters of the International Harmonized Goods Coding System code) and the contact details of the consignee;

8.1.6. The cargo is not prohibited under IATA (International Air Transport Association) Dangerous Goods Regulations, ICAO (International Civil Aviation Organization) Technical Instructions, International Maritime Dangerous Goods Code, European Agreement concerning the International Carriage of Dangerous Goods by Road, and is not prohibited under any law or regulation of any country to or through which the Shipment passes and the consignee is not a person or organization with which it is prohibited to do business on legal grounds in accordance with applicable law or regulation;

8.1.7. the value of any Shipment does not exceed EUR 25,000 (unless otherwise agreed in advance with TNT).

8.2. The Customer must provide TNT with information (i) on the nature of the contents of the shipment, and (ii) on the manner in which the Shipment is to be handled, and (iii) on the precautions to be taken, of which the Customer knows or should be aware of .

8.3. Customer must comply with all legal and regulatory requirements that are necessary for the proper performance of TNT Services. Customer fully indemnifies and indemnifies TNT from any liability or any costs, damages or expenses, including legal fees and attorneys' fees, that TNT may incur against itself or the customer or anyone else arising out of any breach by Customer of its obligations specified in 8, even if TNT inadvertently accepts a Shipment that does not comply with the requirements of these Conditions.

8.4. Customer agrees (i) that TNT or any appropriate government authority, including customs and security authorities, may open and inspect the Shipment at any time, and (ii) TNT may, in its sole discretion, refuse to carry the Shipment if the Shipment is deemed Non-transportable, or for any other reason.

8.5. The Customer undertakes to indemnify TNT against any claims from third parties having an interest in the Cargo.

8.6. Customer agrees that TNT may not disclose its security measures or itinerary details in order to secure Customer Shipments. It also means that the right to audit TNT's activities can only arise by virtue of law or legal requirement.

9. RESPONSIBILITY

9.1. To the extent that the Conventions or, to a greater or lesser extent, other mandatory national law apply, TNT's liability shall be governed by and limited in accordance with the relevant Convention and/or rules.

9.2. If the Conventions do not apply for any reason, TNT's liability for loss, damage or delay of Shipment for any reason, including, without limitation, breach of Contract, negligence, willful act or default by TNT, is limited to:

9.2.1. 19 SDRs per kilogram of Cargo in case of loss or damage to the Cargo, if the Carriage of the Cargo is carried out (partially carried out) by air or other non-road mode of transportation;

9.2.2. SDR 8.33 per kilogram of cargo for loss or damage to Cargo carried by road;

9.2.3. EUR 3.40 per kilogram of cargo, but not more than EUR 10,000 per event or series related events, if the Shipment is lost or damaged as a result of TNT's actions other than the provision of the Services; or

9.2.4. the amount paid by the Customer for the carriage of the Cargo, in case of delay in the delivery of the Cargo, subject to the provision by the Customer of documents confirming the damage caused.

9.3. TNT is not responsible for:

9.3.1. consequential damages, incidental expenses, special types of damages, including but not limited to alternative delivery options, loss of profits, the ability to use the contents of the Shipment, loss of customer reputation, lost profits; or

9.3.2. losses arising from circumstances beyond the control of TNT, such as, but not limited to: natural disasters, wars, catastrophes, acts of hostile persons, strikes, embargoes, popular uprisings, disruptions in the operation of local or national air and ground networks messages, technical malfunctions in transport and equipment, actions or inactions of the Customer, third parties or officials, criminal acts and / or hidden defects and / or defective contents of the Cargo; or

9.3.3. fines, penalties or other sums of money presented to the Customer by third parties.

9.4. TNT shall not be liable in any way for the quantity and/or contents of the Shipment, as stated by the Customer and/or the information specified in the waybill, if, at the time the Shipment was presented for carriage, it was packed in such a way that the quantity and/or contents of the Shipment could not be checked . In any case, verification or non-verification of the content and quantity of the Shipment is at the sole discretion of TNT.

10. DATA

10.1. Customer is responsible for providing TNT with current and complete information regarding the names and addresses of Customer's customers to and from whom Shipments are being shipped.

10.2. Customer acknowledges that, under the Terms, some of the information provided by Customer to TNT pertains to identifiable individuals. Customer acknowledges that TNT is solely responsible for the processing of such data and is therefore considered jointly with Customer as a data controller (or joint data controller).

10.3. TNT may be required to disclose information, including personal data, associated with the Shipment to the authorities of the country of origin and country of destination or the authorities of the country of transit for customs and/or other security purposes.

11. TIME-SPECIFIED DELIVERY SERVICES

If the delivery of the Customer's Cargo was not carried out by TNT at the scheduled time, and this was not due to the reasons specified in clause 9.3.2. of these Terms and the Customer has notified TNT of this in accordance with clause 14 of these Terms, TNT will invoice the cost of the actual services provided (for example, as for delivery before 12-00), and not for the cost of the services ordered by the Customer (for example, as for delivery until 9:00 a.m.).

12. EXPENSIVE ITEMS

Expensive items such as precious stones and metals, Jewelry, banknotes, banknotes, loose furniture, glassware or china, works of art, antiques, such important documents such as Passport, Competitive Offer, Certificates, Stocks and Options cannot be sent via TNT delivery network. If, however, any of the above items were sent through the TNT delivery network, all risks are borne by the Customer.

13. INSURANCE

13.1. The Customer may insure its Cargo for an amount equal to its full value by filling out the appropriate section on the TNT waybill and paying the established amount in order to protect the Cargo from the risk of loss or damage during its transportation, while the maximum insurance indemnity is 25,000 Euro per Cargo.

13.2. The insurance does not cover (except as previously agreed with TNT) precious stones and metals, smartphones and watches, tablets, laptops, plasma and LCD screens, jewelry, banknotes, glassware or chinaware, works of art, antiques, documents or any films, magnetic tapes, disks, memory cards and other media, also does not cover (i) consequential damages, and (ii) delays in carriage, or (iii) damages resulting from Customer's breach of any of its obligations under these Conditions. This insurance option is also not available for non-transport services and for a limited number of countries (a list of such countries can be provided by TNT upon request).

14. CLAIMS PROCEDURE

14.1. TNT will consider claims for loss, damage or delay of the Shipment, or compensation for other damages, only if the Customer complies with the rules of the Convention to be applied and the rules of the following procedure:

14.1.1. Customer must notify TNT in writing of any loss, damage, or delay to the Shipment within 21 days of (i) delivery, (ii) the date the Ship was due to be delivered, or (iii) the date Customer should have become aware of loss, damage or delay in delivery;

14.1.2. Customer must substantiate its claims by sending TNT all documents relating to the Shipment and/or its loss, damage or delay in delivery;

14.1.3. TNT is not obligated to take action to resolve the claim until the Customer has paid for the carriage. The customer also has no right to withhold the amount of damage from the amount of transportation services;

14.1.4. In order for TNT to consider a claim for damage to the Shipment, the contents of the shipment must be submitted and original packaging for inspection.

14.3. In the event that TNT has satisfied part or all of Customer's claim, Customer warrants to TNT that its insurers or any other person with an interest in the Shipment will waive any indemnity rights and remedies they might have been entitled to.

15. RATES AND PAYMENTS

15.1. As part of the provision of TNT services, the Customer shall pay TNT fees (including applicable surcharges) in accordance with the rates applicable to the carriage set out in the TNT fare card (available upon request at any TNT office in the country where the invoice was issued) or in the relevant agreement between the Customer and TNT.

15.2. TNT tariffs do not include import duties, export duties, customs duties, taxes/VAT on transport services and any local duties, fees and taxes, when applicable. Customer shall refund TNT within 7 days of any such fees, charges and taxes from the invoice date.

15.3. TNT tariffs include customs clearance of low value goods. TNT can carry out other types of customs clearance for an additional fee under a separate agreement.

15.4. In the event that the Shipment is not stackable, TNT, at its sole discretion, reserves the right to charge an additional fee, in accordance with the applicable rates.

15.5. A fuel surcharge is added to TNT fares. TNT reserves the right to change the fuel surcharge without notifying customers. The amount of the fuel surcharge will be determined by TNT in its sole discretion.

15.6. Information about the surcharges applied by TNT is available on the (local) TNT website. In cases where information on the site contradicts information provided in any other form, the information posted on the site takes precedence.

15.7. The calculation of the cost is made in accordance with the declared actual or volumetric weight of the cargo, whichever is greater. Volumetric weight is calculated according to the formula given in the current TNT tariff card. TNT has the right to check the weight and/or volume and/or number of pieces of the Customer's Cargo, and if there is a discrepancy between the declared weight and/or volume and/or number of pieces and the actual weight and/or volume and/or number of pieces, the Customer agrees so that the actual weight and/or actual volume and/or actual number of seats, whichever is greater, will be used for the purposes of calculating the cost of the TNT surcharge.

15.8. TNT issues invoices within a week from the date of collection of the Cargo, and the Customer undertakes to pay them within 7 days from the date of issue of the invoice, in full, without any deductions, restrictions, counterclaims. TNT invoices do not include a copy of the proof of delivery.

15.9. TNT is entitled to charge interest on all outstanding invoices at a rate of 6% above the base rate of the European Central Bank until the invoices are paid in full. Customer reimburses TNT for reasonable collection costs Money on unpaid bills.

15.10.Where permitted by law, TNT's standard billing method is electronic method. If Customer requests the use of paper invoices instead of electronic, TNT reserves the right to charge an administration fee for providing this service to Customer.

15.11. The Customer is informed and agrees that TNT has the right, in case of failure to fulfill its obligation to pay for the carriage of the Cargo held by TNT and subject to transfer or to reimburse the costs and other losses associated with the carriage, to hold the Cargo until the fulfillment of obligations. TNT will have the right to claim in respect of the retained item, as well as the right to satisfy its claims from the value of the Shipment.

16. STAFF GUARANTEES

Customer warrants to hold TNT harmless from all liability, claims and costs, including attorneys' fees, that TNT may directly or indirectly incur to Customer or anyone else in connection with the transfer, employment, redundancy of any operating or former employees; or employees of counterparties or former counterparties; or employees of third parties that may arise in connection with any commercial relationship between TNT and Customer, including but not limited to liability under the European Community Rights Directive (77/187/EEC, as amended by Directive 2001/23/EEC) or applicable national law, or other applicable labor law.

17. INTEGRITY AND INDIVIDUALITY OF THE AGREEMENT

17.1. All terms and conditions applicable to the relationship between TNT and Customer are contained herein. This document is bilingual. In the event of a conflict between the Russian and English versions of these Terms, the Russian version shall prevail.

17.2. The invalidity of a part of these Terms does not entail the invalidity of their other parts.

18. LITIGATION

Except as otherwise provided in any applicable Convention, disputes arising out of or in connection with these Terms shall be subject to the courts of the country where the Shipment was originally transferred to TNT for services.
