On May 18, 2018, a new edition of the Regulations on the Commercial Register came into force. A number of changes were associated with bringing the norms of this regulatory legal act in line with Decree No. 7. In addition, a number of items were excluded from the list of information included in the Commercial Register.

As a follow-up to these innovations, on June 5, 2018, Decree No. 46 “On measures to implement the Decree of the Council of Ministers of the Republic of Belarus dated May 14, 2018 No. 351” was adopted, which established the application forms, on the basis of which, starting from July 12, 2018, , excluded) information. Thus, the columns in which previously it was required to indicate information about the head of the trading facility were excluded from all forms. Applications are not provided for applications in which classes, groups and subgroups of goods were prescribed - this information must now be reflected in the application itself (based on the List of Retail and Wholesale Goods<*> .

From the application form for the inclusion of information in the Trade Register of the Republic of Belarus about the retail store(with the exception of mobile vehicles of delivery and peddling trade), such columns as “Methods of selling goods”, “Type of retail facility by type of building, by price level”, etc. are excluded. to create a trading facility, and some other information<*>. In the application for the inclusion of information in the Trade Register of the Republic of Belarus about the wholesale trade object no need to provide information about storage area and warehouse volume<*>. Application form for inclusion of information in the Trade Register of the Republic of Belarus about the object Catering does not contain a column in which the specialization of the catering facility was prescribed<*> .

The forms of applications for making changes and (or) additions to the information included in the Trade Register of the Republic of Belarus have changed<*> :
- about a retail trade facility (with the exception of mobile vehicles for delivery and peddling trade);
- a mobile means of delivery, peddling trade;
— a subject of trade carrying out retail without (outside) retail facilities;
— online store;
- wholesale trade facility;
— a subject of trade carrying out wholesale trade without commercial facilities;
- catering facility;
- mall;
- the market.

From 07/12/2018, it should be indicated why changes and (or) additions are made (for example, in connection with a change in the full name of the legal entity or full name of the individual entrepreneur, a change in classes, groups and (or) subgroups of goods sold, etc. ). In addition, previously, some of the above statements were required to reflect information about the mode of operation and turnover for the previous financial year. In the newly established forms, such columns are absent. Decree N 46 "On measures to implement the Decree of the Council of Ministers of the Republic of Belarus of May 14, 2018 N 351" does not contain the previously existing application form on the coordination of the operating mode of a retail facility, catering facility, shopping center, market, trade entity engaged in retail trade without (outside) trade facilities, including an online store<*> .

For reference
From February 26, 2018, business entities in the implementation economic activity in the areas of trade, public catering:
— independently establish the operating mode of retail trade facilities belonging to them, catering facilities, facilities consumer services, operating mode without (outside) retail facilities, consumer services facilities, shopping centers, markets without agreement with local executive and administrative bodies, others government bodies and ensure compliance. The exception is the operation of such facilities after 23.00 and before 7.00, which is subject to agreement with local executive and administrative bodies at the location of such facilities;
— do not provide information on retail and (or) wholesale turnover for inclusion in the Trade Register of the Republic of Belarus. At the same time, business entities engaged in trade through the organization trading network or big store, independently calculate their share in the volume of retail turnover food products within the boundaries of the region, Minsk, cities of regional subordination, districts for the previous financial year<*> .

Procedure for entering information in the commercial register
1. Information about business entities and information about trade objects belonging to them shall be entered in the trade register.

2. The following shall be entered in the trade register:

Organizations - legal entities that have passed state registration;

Individual entrepreneurs are citizens who carry out entrepreneurial activity without formation of a legal entity;

Territorially isolated subdivisions of organizations, individual entrepreneurs.

3. Information is entered into the trade register both on own and leased trade facilities.

4. All economic entities (tenants, subtenants) located on the territory of a trading facility (shop, shopping complex, shopping center, etc.) that have entered into a lease (sublease) agreement.

5. Pavilions, kiosks, tents are classified as non-stationary trade facilities and are subject to entry in the trade register.

6. If the enterprise is an object of new construction or is introduced as an object of the consumer market for the first time, it is entered in the commercial register after the object has been accepted by the state commission with the execution of the appropriate acceptance certificate.

7. Entering information about an economic entity (object) of trading activity in the commercial register is carried out on the basis of:

1) applications for entering information in the trade register (Appendix 1) with the application of completed forms of the established form (Appendices 2, 3, 4) to these Guidelines, as well as the following documents:

a) duly certified copy of the certificate of state registration legal entity or individual entrepreneur;

b) duly certified copy of the certificate of registration with the tax authority at the location in the territory Russian Federation(except for cases when a duly certified mark of registration in tax office made on the certificate of state registration, indicating the taxpayer identification number (TIN);

c) documents or their copies confirming the information of the economic entity carrying out trading activity, about the trade objects belonging to him;

d) documents or their copies confirming the information of the economic entity on the objects of the economic entity that supplies goods.

The documents specified in subparagraphs "c" and "d" are provided for each object entered in the commercial register. After entering the information, the documents are returned to the business entity.

2) information generated as a result of the collection by the administrations of urban districts and municipal districts of the region of information about economic entities.

8. If an economic entity has several objects of trade, territorially separate subdivisions, the application is submitted for each object separately. In this case, each object will be entered in the trade register as a separate entry.

9. An application for entering information about an economic entity into the commercial register may be sent to the administration of an urban district or municipal district by post. Certified copies of documents must be attached to the application.

10. There is no fee for entry in the commercial register.

11. Sample applications, forms, according to which business entities provide information for entering into the trade register, are posted on the website of the Altai Territory Administration for the Development of Entrepreneurship and Market Infrastructure and the Administration of the Municipal Formation.
Change (exclusion) of information contained in the commercial register
1. Changes and (or) deletion of information contained in the commercial register are made on the basis of:

1) applications of an economic entity included in the commercial register on the introduction of changes and (or) exclusion of information (Appendix 5);

2) collection of information about the economic entity by the administration of the urban district and municipal district.

2. The exclusion of information contained in the commercial register is carried out in the following cases:

Liquidation of the object (demolition, dismantling, etc.);

Changes to the purpose of an object.

1. General part

1.1. The Regulation "On the Trade Register", hereinafter referred to as the "Regulation", was developed in accordance with the Federal Law of the Russian Federation of 01.01.01 N 381-FZ "On the Basics of State Regulation of Trading Activities in the Russian Federation", the Law of the Russian Federation of February 7, 1992 year N 2300-I "On consumer protection".

1.2. The main purpose of creating a trade register is to form a complete, reliable and up-to-date information about various categories business entities engaged in trading activities.

1.3. Basic terms and definitions used in the Regulations:

Trading activity is a type of entrepreneurial activity associated with the purchase and sale of goods.

Special shop- a retailer that sells one group of goods or part of it.

Shop with a combined assortment of goods- a retail enterprise that sells several groups of goods related by a common demand and satisfying individual needs

warehouse space are considered areas of specially equipped buildings or their parts used for the storage of finished products, raw materials, materials, components, etc., as well as for the storage of goods purchased for further resale.

To the shops include specially equipped stationary buildings (a part of them) intended for the sale of goods and the provision of services to customers and provided with trading, utility, administrative and amenity premises, as well as premises for receiving, storing goods and preparing them for sale.

To the pavilions include equipped buildings with a trading floor and premises for storing inventory, designed for one or more jobs.

Wholesale- a type of trading activity related to the acquisition and sale of goods for use in entrepreneurial activities (including for resale) or for other purposes not related to personal, family, household and other similar use

Trading facilities - a building or part of a building, a structure or part of a building, a structure or part of a structure, specially equipped with equipment designed and used for displaying, demonstrating goods, serving customers and making cash settlements with customers when selling goods.

Trade facilities can be classified as stationary and non-stationary, depending on their architectural and construction characteristics.

Stationary trade facility- a trading facility, which is a building or part of a building, a structure or a part of a structure, firmly connected by the foundation of such a building, structure to the ground and connected to engineering networks

1.4. The following are subject to entry in the Commercial Register:

Organizations - legal entities that have passed state registration;

Specialized trade development programs are provided in full. For programs affecting, among other things, the sphere of trade, a program passport and a list of activities that apply to trade organizations are provided, indicating the amount of funding, implementation mechanisms and planned results.

7.4. On a quarterly basis, no later than the twentieth day of the month following the reporting quarter, the authorized body state power of the constituent entity of the Russian Federation that maintains the trade register submits to Rosstat the generalized information contained in the trade register (the forms of generalized information are presented in Appendix 11)

7.5. The information included in the trade register in terms of identifying business entities engaged in trading activities is open and publicly available, in terms of personalized data that reveals the features of doing business - confidential information.

Names of trade objects;

Addresses of the location of trade facilities;

Assortment groups of shopping facilities.

The form for submitting information from the trade register at the request of legal entities and individuals is given in Appendix 12

7.7. The deadline for providing the information contained in the commercial register cannot be more than 5 days from the date of receipt by the registration authority of the relevant request. Refusal to provide information contained in the commercial register is not allowed.

Question

The organization is the owner of buildings in Moscow located on a municipal land plot, which is leased by it. The organization plans to carry out retail trade on the leased land plot, as well as hold festivals and fairs (both independently and with the involvement of third parties). What regulations is this activity regulated? Is the organization required to enter information in the trade register?

Answer

The holding of fairs is regulated by Decree of the Government of Moscow dated May 4, 2011 No. 172-PP “On Approval of the Procedure for Organizing Fairs and Selling Goods (Performing Works, Providing Services) on Them in the City of Moscow”. And this decision applies only to cases where the organizers of the fairs are:

Weekend Fairs - State state-financed organization the city of Moscow "Moscow fairs";

Trade Fairs - Bodies executive power the city of Moscow, legal entities, individual entrepreneurs, determined in accordance with the legal acts of the Department of Trade and Services of the city of Moscow on the organization and holding of such fairs;

If the organizer of the fair is a commercial firm, then this activity is not regulated.

The obligation to submit information to the commercial register is currently not established. We can only talk about sending a notification to Rospotrebnadzor (see Explanations on submitting notifications).

FEDERAL LAW DATED December 28, 2009 No. 381-FZ

Article 11

1. Fairs are organized by state authorities, local governments, legal entities, individual entrepreneurs (hereinafter referred to as the organizer of the fair). The organization of fairs and the sale of goods (performance of works, provision of services) at them is carried out in accordance with the procedure established by the regulatory legal acts of the constituent entities of the Russian Federation in whose territories such fairs are organized.* If the organizer of the fair is a federal government body, the procedure for organizing the fair and sale of goods (performance of work, provision of services) at it is established by the organizer of the fair, taking into account the provisions of this article.

2. 5. The amount of payment for the provision of equipped places for the sale of goods (performance of works, provision of services) at the fair, as well as for the provision of services related to the provision of trade (cleaning the territory, conducting veterinary and sanitary examination and other services), is determined by the organizer of the fair, taking into account the need to compensate for the costs of organizing a fair and selling goods (performance of work, provision of services) at it.

6. Requirements for the organization of the sale of goods (including goods to be sold at fairs of the appropriate types and included in the relevant list) and the performance of work, the provision of services at fairs are established by regulatory legal acts of the constituent entities of the Russian Federation, taking into account the requirements established by law of the Russian Federation on the protection of consumer rights, the legislation of the Russian Federation in the field of ensuring the sanitary and epidemiological welfare of the population, the legislation of the Russian Federation on fire safety, legislation in the field of protection environment, and other established federal laws requirements."

By line (1.2)"Trade mark (brand) under which the economic entity operates" the name of the trademark (brand) is indicated (if there is no trademark (brand), “none” is indicated).

Trademark(™) - a verbal, figurative, combined or other designation that serves to individualize legal entities or individual entrepreneurs.

Brand- a set of information about the company, a popular, easily recognizable and legally protected symbolism of an organization.
On line (1.3) "Legal address" (for a legal entity) the legal address is indicated with an index.
On line (1.4) “Full name manager (for a legal entity)" the surname, name, patronymic are indicated in full.
By line (1.5) "Individual entrepreneur" the surname, name, patronymic of the individual entrepreneur are fully indicated.
Line (1.6) "Place of residence of an individual registered as an individual entrepreneur" shall indicate the name of the subject of the Russian Federation, the address with a postal code.
On line (1.7) "Telephone, fax (for a legal entity; individual entrepreneur)" contact telephones and fax numbers are indicated with the area code.
On line (1.8) "Code according to the All-Russian Classifier of Enterprises and Organizations (OKPO)" it is mandatory to fill in the fields with the personal unique codes of the OKPO entrepreneur - on the basis of a notification of the assignment of the OKPO code issued by the territorial bodies of Rosstat.

The OKPO code is filled in in accordance with the Information Letter on the assignment of the code in the tax and statistical authority.

OKPO code of legal entities - a sequence of 8 Arabic numerals,

OKPO code for IPBOYUL - a sequence of 10 Arabic numerals.

On line (1.9) "Taxpayer identification number (TIN)" the TIN code must be indicated - based on the data of the tax service.

The TIN code is filled in in accordance with the Information Letter on assignment of the code in the tax and statistical authority.

TIN of an individual and TIN of an individual entrepreneur are identical.

TIN of a legal entity - a sequence of 10 Arabic digits,

TIN IPBOYUL - a sequence of 12 Arabic numerals.
On line (1.10) "Form of ownership (OKFS code)" the code from the all-Russian classifier of forms of ownership is indicated in accordance with Appendix 1 to this instruction.

OKFS is always a two-digit (two-digit) digital code.
On line (1.11) "Legal form (OKOPF code)" the code of the organizational and legal form from the all-Russian classifier of organizational and legal forms is indicated in accordance with Appendix 2 to this instruction.

OKOPF is always a two-digit (two-digit) digital code.
On line (1.12) "Type of activity (OKVED code)" the code of each type of economic activity carried out is indicated in accordance with the All-Russian Classifier of Types of Economic Detail (Appendix 3 to this Instruction). That is, in Appendix 3, you should find the types of activities that an economic entity (legal or natural person) carries out, and rewrite the codes of these types of activities in line 1.12. The main activity should be listed first.
For line (1.13) "Average number of employees of an economic entity" the average number of employees of an economic entity is indicated. Information on the average headcount is annually submitted to the tax authorities at the end of the year in the form approved by Order of the Federal Tax Service of Russia dated March 29, 2007 No. MM-3/25/174.

The average headcount is indicated for each type of business entity included in the trade register (shop, pavilion, tent, kiosk, warehouse, etc.).
For line (1.14) "Method of trading (check)" the corresponding indicator is marked with a “√” sign (with the use of trading facilities / without the use of a trading facility). If an organization (individual entrepreneur) uses several trading methods at the same time, then all the methods and forms of trading used should be noted in the appropriate columns.
